These Terms of Use ("Terms") govern your access to and use of brunoterminal.com and any related websites, software, data, content, emails and services offered by OptimizeMe AI LLC, a Wyoming limited liability company, doing business as Bruno Terminal ("Bruno Terminal", "we", "us") (together, the "Services"). By accessing or using the Services, including by joining our waitlist, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. You represent that you are not on, or owned or controlled by anyone on, a United States or other applicable restricted-party list, and you will not use, export or re-export the Services in breach of sanctions or export control laws. The Services are operated from the United States; we make no claim that they are lawful or suitable elsewhere, and you use them from other places at your own risk. If you use the Services on behalf of an organization, you represent that you have authority to bind it to these Terms, and "you" includes it.

2. Information only; no investment advice

The Services provide market data, charts, analytics, news and other content ("Content") for informational and educational purposes only. Nothing on the Services is investment, financial, legal, tax or accounting advice, or a solicitation, offer or recommendation to buy, sell or hold any security, commodity, currency or other instrument, or to adopt any strategy. Content is general and is not tailored to anyone's circumstances, and using the Services creates no adviser, fiduciary or client relationship. Bruno Terminal is not a broker-dealer, investment adviser or exchange. You are solely responsible for your investment decisions, and you should consult a qualified professional before making any. Trading and investing involve risk, including the loss of principal.

3. Market data and third-party content

Content is obtained from third-party data providers and public sources ("Data Providers") and may be delayed, incomplete, inaccurate or interrupted. Neither we nor any Data Provider guarantees the sequence, accuracy, completeness or timeliness of any Content, and neither is liable for errors, omissions, delays or interruptions, or for any action taken in reliance on Content. The Services are not intended for trading or other time-sensitive purposes. Some Content is subject to additional terms set by its Data Provider, and our Data Providers may enforce the parts of these Terms that protect them. News, filings and other third-party content belong to their owners; showing them does not mean we endorse or have verified them.

4. Analytics, models and illustrative data

Analytics, calculations, models and indicators on the Services (for example, option values and sensitivities, curve fits, regressions and statistics) are produced automatically using assumptions and methods that may be simplified, out of date or wrong. Their results are estimates, not facts, and may differ from those of other sources. Scenario, payoff or historical figures are hypothetical and do not predict future results. Screens, prices and figures shown on our marketing pages, including the animation on our home page, are illustrative and may be simulated; they are not actual or current market data.

5. Your license to use the Services

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your own non-commercial use. All other rights are reserved. The Services, including their software, design, text, graphics, compilation of data, and the Bruno Terminal name and logos, are owned by us or our licensors and are protected by intellectual property laws. Open-source components of the Services are licensed under their own licenses, which these Terms do not limit. Data you export from the Services is for your personal use only, under these Terms.

6. Acceptable use

You agree not to, and not to help anyone else to:

• copy, reproduce, redistribute, sell, license, publish or commercially exploit any part of the Services or Content, or use Content to build a database or a competing product;
• scrape, crawl, mine or extract data from the Services by any automated means, or frame or mirror them (search engines that follow our robots.txt may index our public pages);
• use Content in any system that is not displayed to a person, including automated or algorithmic trading, order generation, price referencing or verification, risk or valuation systems, or to train or feed any machine-learning or artificial-intelligence model;
• reverse engineer, decompile or attempt to discover the source code of the Services, except where the law allows it despite this restriction;
• probe, scan or test the vulnerability of the Services, or breach or bypass any security, rate limit or access control;
• interfere with or overload the Services, or disrupt anyone else's use of them;
• introduce viruses, malware or other harmful code;
• modify or create derivative works of the Services, or remove, obscure or alter any proprietary notice, attribution or label;
• impersonate any person, misrepresent your identity or affiliation, or collect information about other users;
• use the Services for any unlawful, fraudulent or misleading purpose.

7. Trademarks and no affiliation

Company names, tickers, logos and other marks shown on the Services belong to their owners and are used only to identify them. Their use, and any similarity of our commands, layouts or terminology to other products, does not mean any affiliation with, sponsorship by or endorsement from those owners.

8. Your settings, waitlist and communications

Settings, layouts and notes you create in the terminal are stored in your browser. We do not receive or back them up, and we are not responsible if they are lost. If we offer accounts, you are responsible for your credentials and for activity under your account. If you join our waitlist or subscribe to updates, you agree to receive emails from us about the Services; you can unsubscribe at any time with the link in each email, and joining does not guarantee access to any feature or by any date. You agree that notices we give you electronically satisfy any requirement that they be in writing. Our privacy policy describes how we handle your information.

9. Feedback

If you send us ideas, suggestions or other feedback, it is not confidential, and you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it for any purpose, without obligation or compensation to you.

10. Third-party sites

The Services may link to websites and services we do not control. We are not responsible for their content, policies or practices, and your use of them is at your own risk.

11. Copyright complaints

If you believe material on the Services infringes your copyright, write to support@brunoterminal.com with the details that copyright law requires, and we will review it promptly.

12. Changes, availability and termination

The Services are under active development. We may change, suspend or discontinue any part of them at any time, without notice or liability. We may suspend or end your access at any time, for any reason, including by blocking it.

13. Disclaimer of warranties

The Services and all Content are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy and availability. We do not warrant that the Services will be uninterrupted, secure or error-free.

14. Limitation of liability

To the fullest extent permitted by law in all jurisdictions that apply, OptimizeMe AI LLC, its members, managers, employees and agents, and its Data Providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, trading losses, loss of data or goodwill, arising out of or relating to the Services or Content, under any theory of liability, even if advised of the possibility of such damages. Our total liability for any claim relating to the Services is limited to the greater of the amount you paid us in the twelve months before the claim or US$100. These limits apply even if a limited remedy fails of its essential purpose.

15. Indemnity

You agree to defend, indemnify and hold harmless OptimizeMe AI LLC and its members, managers, employees and agents from any claims, losses, liabilities and expenses, including reasonable legal fees, arising from your use of the Services or your breach of these Terms. We may take over the defense of any such claim, at your expense, and you will cooperate with us.

16. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules, and any dispute will be resolved exclusively in the state or federal courts located inWyoming, to whose jurisdiction you consent. If you live in the European Union or the United Kingdom, you keep the protection of the mandatory consumer laws of your country.

17. General

These Terms, with our privacy policy, are the entire agreement between you and us about the Services. If any provision is found unenforceable, it will be enforced to the fullest extent permitted and the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms create no agency, partnership or employment relationship, and headings are for convenience only. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control, including outages of the internet or of our hosting, network or data providers. The sections on information only, market data, analytics, our ownership, acceptable use, feedback, disclaimers, limitation of liability, indemnity and governing law survive any end of your use. We may update these Terms; we will change the date at the top and, for material changes, give notice on the website or by email. Continued use after changes take effect means you accept them.
